These Terms of Service ("Terms") govern your access to and use of Contextable ("Service"), operated by Signal Foundry Labs, Inc. ("Company," "we," "us," or "our"), a company incorporated in Toronto, Ontario, Canada.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Description of Service

Contextable is a platform that allows users to store and manage project context, artifacts, and notes that can be accessed across multiple AI platforms including ChatGPT, Claude, and others through the Model Context Protocol (MCP).

2. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

3. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Upload or transmit malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or servers
  • Use the Service for any illegal or unauthorized purpose
  • Collect or harvest user data without consent

4. User Content

You retain ownership of any content you submit, post, or display through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process such content solely for the purpose of providing the Service to you.

You are solely responsible for your User Content and represent that you have all necessary rights to submit such content.

5. Third-Party Services

The Service integrates with third-party AI platforms (such as OpenAI's ChatGPT and Anthropic's Claude). Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or content of these third-party services.

6. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information.

7. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by Signal Foundry Labs, Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNAL FOUNDRY LABS, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

11. Indemnification

You agree to indemnify and hold harmless Signal Foundry Labs, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Service or violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on this page with a new "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
